1. Agreement to Terms

By accessing or using Citation, a service provided by SLAYSAUCE LLC ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Citation provides analytics and optimization tools for Large Language Model (LLM) visibility. We track brand mentions and provide actionable insights. We do not guarantee specific rankings or visibility outcomes in third-party AI models. The analysis results are provided for informational purposes only and should not be relied upon as the sole basis for business decisions.

3. Subscriptions and Payments

3.1 Billing: The Service is billed on a subscription basis. We offer Weekly ($45/week) and Monthly ($99/month) plans. You will be billed in advance on a recurring basis.

3.2 Cancellation: You may cancel your Subscription at any time. Your access will continue until the end of the current billing period.

3.3 Usage-Based Refund Policy: All plans (including Paid Trials and Pro Subscriptions) are subject to specific refund terms based on usage.

Refund Eligibility: You are eligible for a full refund of your current billing cycle's fee ONLY if you have not performed any analysis, generated any tasks, or consumed any API credits during that cycle.

Non-Refundable Usage: Once you trigger an analysis scan, generate content, or use any feature that consumes API credits, the fee for the current billing period becomes non-refundable. This policy exists to cover the direct costs incurred by Citation for LLM API usage and data processing.

3.4 European Union (EU) and United Kingdom (UK) Customers: By using the Service, you acknowledge and agree that the immediate performance of the contract commences upon your first interaction with any paid feature (e.g., running a scan). You hereby expressly acknowledge that you lose your right of withdrawal from the contract once the performance has begun.

4. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Citation and its licensors.

5. User-Generated Content

You are solely responsible for any content you submit to the Service, including brand names, keywords, and other data. You represent and warrant that you have all necessary rights to submit such content and that it does not infringe on any third-party intellectual property rights. Citation does not endorse, verify, or assume responsibility for the accuracy of any user-submitted content or the results of any analysis performed on such content.

6. Indemnification

You agree to defend, indemnify, and hold harmless SLAYSAUCE LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any content you submit to the Service.

7. Limitation of Liability

To the maximum extent permitted by law, Citation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. In no event shall our total liability exceed the amounts paid by you in the twelve (12) months preceding the claim.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable for any modification, suspension, or discontinuance of the Service. Force majeure events, including but not limited to natural disasters, acts of war, terrorism, labor disputes, or failures of third-party services, shall excuse our performance obligations.

9. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Cheyenne, Wyoming, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding. You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

CLASS ACTION WAIVER: You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action must be brought in the state or federal courts located in Laramie County, Wyoming.
